By booking or attending a demonstration (“Demo”) of the Squirrel™ automated compliance platform, you (“the Participant”) agree to the following confidentiality terms with Value Associates Limited (t/a Acorn Compliance), a company incorporated in England and Wales (Company No. 05770395), with its registered office at 7 Bell Yard, London, WC2A 2JR (“Acorn Compliance”).

1. Purpose 

The Demo is provided solely for the Participant’s evaluation of Squirrel™ and its features. The Participant may receive or observe information relating to Acorn ComIpliance’s business, technology, processes, software, trade secrets, intellectual property, designs, methodologies, or future plans (“Confidential Information”). 

‍2. Confidentiality Obligations

The Participant undertakes to:

(a) keep all Confidential Information strictly confidential and secure;

(b) not disclose any Confidential Information to any third party without Acorn Compliance’s prior written consent; and

(c) not use any Confidential Information for any purpose other than evaluating Squirrel™.

The Participant shall ensure that any of its employees or advisers who receive Confidential Information are bound by obligations no less strict than these.

3. Exclusions

The above obligations do not apply to information that the Participant can demonstrate:

(a) is or becomes public through no breach of this statement; or

(b) was lawfully known to the Participant without restriction before disclosure by Acorn Compliance.

However, information merely similar in features or function to what was demonstrated shall still be treated as Confidential Information if derived from the Demo or related materials.

‍4. No Reverse Engineering or Competitive Use

The Participant shall not use, copy, reproduce, or otherwise exploit any aspect of the Demo, Squirrel™, or related materials to develop or assist in the development of any product or service that competes, directly or indirectly, with Squirrel™ or Acorn Compliance’s offerings.

‍5. Legal Disclosure

If the Participant is required by law or competent authority to disclose any Confidential Information, they must (where lawfully possible) promptly notify Acorn Compliance and cooperate to minimise the disclosure and its effects.

‍6. Intellectual Property 

All rights, title, and interest in Squirrel™ and all related materials, concepts, and information remain the exclusive property of Acorn Compliance. No licence or right is granted to the Participant except to view the Demo for the limited Purpose stated above.

‍7. Duration 

The confidentiality obligations continue for six (6) years from the date of the Demo.

8. Remedies 

The Participant acknowledges that unauthorised disclosure or misuse of Confidential Information may cause irreparable harm to Acorn Compliance, for which damages may be inadequate, and agrees that Acorn Compliance is entitled to seek injunctive or equitable relief in addition to any other remedies available at law.

‍9. Governing Law

This statement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
